1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Contractors Edge ("Company," "we," "us," or "our") concerning your access to and use of the contractorsedge.app website and all related services (collectively, the "Services").

By accessing or using our Services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our Services.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms.

4. Account Registration

Some of our Services may require you to create an account. When you register for an account, you agree to:

• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account

Billing

Late Payments

If payment is not received when due, we reserve the right to suspend or terminate your access to our Services. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law.

6. Client Responsibilities

As a client, you agree to:

• Provide accurate and timely information needed for our Services
• Grant necessary access to your business accounts (Google Business Profile, website, etc.)
• Review and approve content before publication when requested
• Comply with all applicable laws and regulations
• Not engage in any fraudulent or deceptive practices
• Maintain accurate business information across all platforms

7. Intellectual Property

Our Intellectual Property

The Services, including all content, features, and functionality, are owned by Contractors Edge and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

Client Content

You retain ownership of any content you provide to us. By providing content, you grant us a non-exclusive, royalty-free license to use, modify, and display such content solely for the purpose of providing our Services.

Work Product

Unless otherwise agreed in writing, any work product created by us specifically for you (excluding our proprietary tools, methodologies, and templates) will be owned by you upon full payment of all applicable fees.

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE:

• Specific rankings in search engines or maps
• A specific number of leads, calls, or conversions
• Any particular business outcome or revenue increase
• Uninterrupted or error-free service

Digital marketing results vary based on many factors outside our control, including competition, market conditions, and algorithm changes.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTRACTORS EDGE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Contractors Edge and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any rights of a third party
• Any content you provide to us

11. Termination

Either party may terminate the service agreement with 30 days written notice. We reserve the right to suspend or terminate your access to our Services immediately if you:

• Breach these Terms
• Fail to pay fees when due
• Engage in fraudulent or illegal activity
• Provide false or misleading information

Upon termination, your right to use our Services will immediately cease. Any provisions that by their nature should survive termination will remain in effect.

12. Dispute Resolution

Any disputes arising from these Terms or your use of our Services shall be governed by the laws of the State of Utah, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Salt Lake County, Utah.

Before initiating any legal action, you agree to attempt to resolve any dispute through informal negotiation by contacting us directly.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date and, where appropriate, through other reasonable means. Your continued use of our Services after such changes constitutes acceptance of the new Terms.

14. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Contractors Edge regarding the Services.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver.
• Assignment: You may not assign these Terms without our prior written consent.
